Terms of Service

1. Agreement to Terms

By accessing or using the Evaluetor platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is provided by Senority B.V., a company registered in Rotterdam, The Netherlands ("Evaluetor," "we," "us," or "our"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree with these Terms, you must not access or use the Service. We reserve the right to update these Terms at any time. We will notify you of material changes via email or through the platform. Your continued use of the Service after such notice constitutes acceptance of the updated Terms.

2. Description of Service

Evaluetor is an AI-powered contract intelligence platform that enables organizations to upload, analyze, and manage contracts throughout their lifecycle. The Service includes, but is not limited to:

• AI-powered extraction of metadata, clauses, obligations, risks, and renewal terms from contracts
• Obligation tracking with deadline monitoring and compliance status
• SLA performance monitoring with breach detection and service credit calculation
• Renewal management with automated deadline alerts
• Relationship governance with KPI tracking and perception scoring
• Semantic search and AI-powered question answering over your contract corpus

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

You agree to keep your registration information current and accurate. We reserve the right to suspend or terminate accounts that contain inaccurate or outdated information, or that we reasonably believe are being used in violation of these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may:

• Upload and analyze contracts for which you have the legal right to access and process
• Use extracted intelligence and analytics for your internal business purposes
• Share access with authorized members of your organization through the platform's access controls

You may not:

• Upload documents containing illegal content or content that violates third-party rights
• Attempt to reverse-engineer, decompile, or otherwise extract the source code of the platform or its AI models
• Use the Service to develop a competing product or service
• Circumvent security measures, access controls, or usage limits
• Share your account credentials with unauthorized individuals or transfer your account without our consent
• Use automated means to access the Service beyond the APIs we expressly provide

5. Intellectual Property

Evaluetor and its licensors own all intellectual property rights in the Service, including the platform, its AI models, algorithms, user interface, documentation, and all related technology. These Terms do not grant you any rights to use our trademarks, service marks, logos, or branding without prior written consent.

We may use anonymized, aggregated usage data to improve the Service and develop new features. Such data will never include your contract content or any information that could identify you or your organization.

6. Data Ownership

You retain all ownership rights to your contracts, documents, and any data you upload to the Service ("Customer Data"). You also retain ownership of all structured data extracted from your contracts by our AI, including metadata, clauses, obligations, risk assessments, and other intelligence derived from your documents.

By uploading Customer Data, you grant us a limited, non-exclusive license to process, store, and analyze your data solely for the purpose of providing and improving the Service. This license terminates when you delete your data or close your account.

7. Service Level Agreement

We target 99.9% platform availability, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be announced at least 48 hours in advance and will be performed during off-peak hours when possible.

In the event we fail to meet this availability target, eligible customers on paid plans may request service credits in accordance with the terms of their subscription agreement. Service credits are calculated based on the duration and severity of the downtime.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Evaluetor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to Evaluetor during the twelve (12) months preceding the event giving rise to the claim.

The AI-generated analysis and intelligence provided by the Service is for informational purposes and does not constitute legal advice. You are responsible for independently verifying any AI-extracted information before making business or legal decisions based on it.

9. Termination

Either party may terminate these Terms at any time by providing written notice. Upon termination, your right to access the Service will cease. You may export your Customer Data at any time during the active subscription period and for 30 days following termination.

After the 30-day post-termination period, we will delete your Customer Data and all extracted intelligence from our systems, unless retention is required by applicable law. We will provide you with a data export in a standard, machine-readable format upon request.

We may suspend or terminate your access immediately if you materially breach these Terms, including but not limited to violations of the Acceptable Use policy.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Rotterdam, The Netherlands.

If you are a consumer located in the European Union, you may also be entitled to invoke the mandatory consumer protection provisions of your country of residence. Nothing in these Terms affects your rights as a consumer under applicable EU or national law.
